LTD, and HEIWA AUTO N.Z. LTD. TERMS OF TRADE. 1/. PURCHASE OF VEHICLES Heiwa Auto Co. Ltd, of Osaka, (Heiwa) will either purchase vehicles from its trade sources, upon request from you, or will offer you vehicles from its own stock. 1a/.Auction or Dealer: Heiwa will make every effort to ensure that any vehicle offered from a Japanese auction House, or Dealer, will have the accompanying description sheet translated to you, and you are made aware of any defects listed. 1b/. Heiwa will make every effort to ensure that any vehicle purchased for you as per sect 1a. Is checked by your Heiwa sales staffupon arrival at the Heiwa storage area, but be aware that this is subject to time constraints with shipping, and Maf inspection. Also be aware that this inspection is a walk around inspection, and your sales staff is neither a mechanic, nor a panel beater. 1c/. Heiwa Stock Any vehicles offered to you from Heiwa stock, will have already completed a more detailed inspection. All stock vehicles will have their information and photos available for view on Heiwa-Net. Once your application has been approved, you will also be able to view the Price, and then purchase online if you wish. 2/. CONFIRMATION Heiwa will supply you with a request to Confirm the Purchase. This will be by fax (in the case of Auction or Dealer vehicles) or by an electronic confirmation from Heiwa-Net if the vehicle is from Heiwa’s own stock. 2a/. You are required to confirm any purchase by fax, or electronically, before Heiwa make a booking to ship this vehicle. 3/.SHIPPING Heiwa will make every effort to ship your vehicles as expediently as possible after your confirmation of purchase, BUT be aware that Japanese law now requires an original Deregistration Certificate to be surrendered to Japan Customs BEFORE export documents can be made. At times, this requires the previous owner to complete change of ownership documentation, and some delays are unavoidable. 4/. PAYMENTS 4a/. If You Are NOT a Heiwa-D2D member: Full payment of the FOB invoice price shall be paid into the Bank account nominated by Heiwa, before relevant shipping documents are released to you. These documents will be held at the Heiwa Auto New Zealand (HANZ) office so that release is as expedient as possible. Failure to make full payments before the relevant vehicles are discharged at a NZ port may result in HANZ clearing these units through NZ customs, and placing those units in secure storage at your expense, and disposing of those units however it sees fit, if no agreement for payment is reached. 4b/. If you ARE a Heiwa D2D member: Payment for the vehicles FOB price will be invoiced from HANZ, and payment will be due upon invoice, but no later than 4 days before discharge in NZ, so that your NZ tow company can receive a Delivery Instruction without incurring delay. The Heiwa D2D package fee is also due at this time, but so long as the FOB invoice is paid, HANZ will not delay the delivery of the relevant vehicles, but will hold the Deregistration Certificates as security until all payments due are fulfilled. 4c/. Heiwa Auto Company Ltd. or Heiwa Auto New Zealand Ltd. shall retain ownership of any vehicle until all invoices due are paid in full. In the event of non compliance by you, Heiwa or HANZ may take whatever steps necessary to protect its interests, including legal action. You agree that any fees incurred in the performance of this action are liable for payment by you. NOTE: in cases where Heiwa have entered into a Credit Contract with your company, then payment terms and conditions of that Credit Contract shall apply. 5/. CLAIMS 5a/. Any claim by you for vehicle condition shall be made to Heiwa Auto Claim Department. Claims will only be dealt with AFTER all monies have been paid in full for that vehicle, and: All information requested by Heiwa has been forwarded by you.
